Widgets Terms of Use

Rentometer Widgets (the "Widgets") are published by Rentometer, Inc.  The Widgets are tools that you may place on your Web site that allows visitors to your Web site to access and view content on the Rentometer Web site at www.rentometer.com. 

 

Widgets and Widget Content

You acknowledge and agree that the Widgets may display Widget Content, and as well as all software files or images incorporated in, or generated by, the Widgets and any and all data and html embedded code that accompanies the Widgets, and any upgrades, enhancements, modifications, updates and revisions of such software and code.

License and Restrictions on Use

Subject to your compliance with these Widgets Terms of Use, Rentometer hereby grants you a non-exclusive, non-transferable, non-sublicensable, personal, revocable license to use and display the Widgets on your Web site provided that you do not charge a fee or any other form of consideration to permit third parties, including, without limitation, users of your Web site, to use or access the Widgets. You are not licensed to use the Widgets for any other purpose. Nothing in these Widgets Terms of Use shall be deemed to grant you any right, title or interest in the Widgets.

The Widgets (including the software contained therein) and Widget Content are subject to intellectual property and proprietary rights and laws, and are owned by Rentometer.  Subject solely to the express parameters of the limited license granted to you pursuant to these Widget Terms of Use, the Widgets and the Widget Content may not be copied, modified, deleted, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without your obtaining the express prior written permission in each instance of Rentometer.

In addition, neither Widget Content nor content at www.rentometer.com.com accessed through the Widgets may be used in any manner that would constitute an endorsement (whether express or implied) by any person or entity of any product(s), service(s), activity(ies) or brand(s) contained on your Web Site(s).

Placement of Widgets

The Widgets may be placed on your Web sites and on your pages at online social network sites, to the extent permitted by such sites. Rentometer prohibits the placement of the Widgets on Web sites that include content that is offensive, abusive, harassing, threatening, discriminatory, vulgar, pornographic, or otherwise inappropriate as determined by Rentometer in its sole discretion.

Link to Content Pages

The Widgets may be used only with those platforms from which a functional link is made available that, when accessed, takes the viewer directly to the information located at www.rentometer.com, advertising for Rentometer, and third party products or other information on Rentometer's Web sites.

You may not display the Widget Content in a manner that does not permit successful linking to, redirection to or delivery of the applicable www.rentometer.com Web page. You may not insert any intermediate page, splash page or other content between the Rentometer Widget link and the applicable www.rentometer.com Web page.

Fees

We reserve the right at any time to charge fees for access to the Widgets. In no event will you be charged unless we obtain your prior agreement to pay such charges although, if you decline to pay such charges, we may require that you remove any of the Widgets from your Web site.

Ownership/Attribution

Rentometer retains all ownership and other rights in the Widgets and Widget Content, including, without limitation, all ownership and other rights in Rentometer's logos and trademarks.   All other trademarks appearing in Widget Content are the property of their respective owners. You acknowledge and agree that we may use data capture, syndication analysis and other similar tools to track, extract, compile, aggregate and analyze any data or information resulting from use of the Widgets.

Right to Discontinue Widgets

Rentometer reserves the right to discontinue providing any or all of the Widgets at any time and to require you to cease displaying, distributing or otherwise using any or all of the Widgets for any reason including, without limitation, your violation of any provision of these Widgets Terms of Use.

Neither Rentometer, nor any of its respective affiliates, sponsors, licensees assume any liability for any of your activities in connection with the Widgets or for your use of the Widgets in connection with your Web site, and you agree to indemnify, defend and hold Rentometer harmless from and against any claims arising from such activities or use.

Rentometer Makes No Representations or Warranties Regarding the Widget Content

THE WIDGET CONTENT AND ALL SERVICES AND PRODUCTS ASSOCIATED WITH THE WIDGETS AND WWW.RENTOMETER.COM ARE PROVIDED TO YOU ON AN "AS-IS" AND "AS AVAILABLE" BASIS.  RENTOMETER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WIDGETS, WIDGET CONTENT, WWW.RENTOMETER.COM OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES INCLUDED ON OR ASSOCIATED WITH THE WIDGETS OR WWW.RENTOMETER.COM. YOU EXPRESSLY AGREE THAT YOUR USE OF THE WIDGETS AND WWW.RENTOMETER.COM AND ALL PRODUCTS AND SERVICES INCLUDED ON OR ASSOCIATED WITH THE WIDGETS, WIDGET CONTENT AND WWW.RENTOMETER.COM IS AT YOUR SOLE RISK.

Limitations on Rentometer's Liability

RENTOMETER SHALL IN NO EVENT BE RESPONSIBLE TO, OR LIABLE TO, YOU, OR ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY DAMAGES, INCLUDING, BUT NOT LIMITED TO, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES THAT INCLUDE, BUT ARE NOT LIMITED TO, DAMAGES FOR ANY LOSS OF PROFIT, REVENUE OR BUSINESS, AS A DIRECT OR INDIRECT RESULT OF: (I) YOUR BREACH OR VIOLATION OF THESE WIDGET TERMS OF USE; (II) YOUR ACCESS AND USE OF THE WIDGETS OR WWW.RENTOMETER.COM; (III) YOUR DELAY IN ACCESSING OR INABILITY TO ACCESS OR USE OF THE WIDGETS OR WWW.RENTOMETER.COM FOR ANY REASON; (IV) YOUR DOWNLOADING OF ANY OF THE WIDGETS, WIDGET CONTENT OR THE CONTENT OR THE COLLECTIVE WORK AVAILABLE ON RENTOMETER'S WEB SITES FOR YOUR USE; (V) YOUR RELIANCE UPON OR USE OF WIDGET CONTENT OR THE CONTENT OR COLLECTIVE WORK AVAILABLE ON RENTOMETER'S WEB SITES, OR (VI) ANY INFORMATION, SOFTWARE, PRODUCTS OR SERVICES OBTAINED THROUGH THE WIDGETS OR WWW.RENTOMETER.COM, OR OTHERWISE ARISING OUT OF THE USE OF THE WIDGETS OR WWW.RENTOMETER.COM, WHETHER RESULTING IN WHOLE OR IN PART, FROM BREACH OF CONTRACT, TORTUOUS BEHAVIOR, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF RENTOMETER AND/OR ITS SUPPLIERS HAD BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. RENTOMETER'S LIABILITY AND THE LIABILITY OF ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS ARISING OUT OF THESE WIDGETS TERMS OF USE SHALL NOT EXCEED $250.

Your Indemnification of Rentometer

You shall defend, indemnify and hold harmless Rentometer and its officers, directors, shareholders, employees, independent contractors, agents, representatives and affiliates from and against all claims and expenses, including, but not limited to, attorneys' fees, arising out of, or attributable to: (i) any breach or violation of these Widget Terms of Use; (ii) your failure to provide accurate, complete and current personally identifiable information requested or required by Rentometer; (iii) your access or use of the Widgets or www.rentometer.com; (iv) access or use of www.rentometer.com under any password that may be issued to you; and/or (v) your transmissions, submissions or postings (i.e., your own User Generated Content).

Amendments of these Widgets Terms of Use

Rentometer reserves the right to update, amend and/or change these Widgets Terms of Use any time in its sole discretion and without notice.  Updates to these Widgets Terms of Use will be posted here.  You are encouraged to revisit these Widgets Terms in order to review any changes that have been made.  Your continued access and use of the Widgets or www.rentometer.com following the posting of any such changes shall automatically be deemed your acceptance of all changes.

Miscellaneous

If any portion of these Widgets Terms of Use, Rentometer's Terms of Use are deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, these Widgets Terms of Use as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of these Widgets Terms of Use that is unlawful, void or unenforceable shall be stricken from these Widgets Terms of Use.  The headings contained in these Widgets Terms of Use are for convenience of reference only, are not to be considered a part of these Widgets Terms of Use, and shall not limit or otherwise affect in any way the meaning or interpretation of these Widgets Terms of Use.

These Widgets Terms of Use represent the entire understanding and agreement between you and Rentometer regarding the subject matter of the same, and supersede all other previous agreements, understandings and/or representations regarding the same.
